Legal terms governing the use of Talky mobile top-up platform

Introduction

Welcome to Talky Cloud Communications (operated by TechSynergy Corp). These Terms of Service constitute a legally binding agreement between you and Talky governing your use of our international mobile top-up platform, which enables you to send prepaid mobile credit to over 200 countries and 500 mobile operators worldwide.

By creating an account, accessing our website, or using any of our mobile recharge services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these terms, please discontinue use of our platform immediately.

These terms apply to all users, including individual consumers sending mobile top-ups to family and friends, as well as business resellers using our platform for commercial purposes. Additional terms may apply to business accounts and API access.

1. Service Agreement and Eligibility

By using Talky's mobile top-up services, you agree to these terms and conditions. Our platform allows users to purchase and send prepaid mobile credit, data bundles, and international recharges to recipients worldwide.

Eligibility Requirements

  • You must be at least 18 years old to create an account and use our services
  • You must provide accurate, current, and complete information during registration
  • You must have the legal right to use the payment methods you provide
  • You must comply with all applicable local, national, and international laws
  • Business accounts must provide valid business registration documentation

Important: We reserve the right to verify your identity and may request additional documentation for security and compliance purposes. Accounts that fail verification may be suspended or terminated.

2. Account Registration and Security

Account Creation

To use our mobile top-up services, you must create an account by providing your email address, phone number, and creating a secure password. You will be required to verify your email and phone number through OTP (One-Time Password) verification for security purposes.

Account Security Responsibilities

Maintain the confidentiality of your account credentials (email, password, OTP codes)

Notify us immediately if you suspect unauthorized access to your account

You are responsible for all activities that occur under your account

Do not share your account credentials or allow others to use your account

We are not liable for any losses resulting from unauthorized use of your account due to your failure to maintain adequate security.

3. Mobile Top-Up Services

Talky provides international mobile recharge services that allow you to send prepaid credit to mobile phone numbers in supported countries. Our services include airtime top-ups, data bundles, and other mobile operator products.

Service Limitations

  • • Delivery times may vary depending on mobile operator and network conditions
  • • We cannot guarantee service availability for all operators at all times
  • • Minimum and maximum top-up amounts vary by operator (typically $5-$500)
  • • Some operators may have restrictions on prepaid vs. postpaid numbers
  • • We are not responsible for mobile operator service quality or network issues

4. Payments and Fees

Accepted Payment Methods

We accept major credit cards (Visa, Mastercard, American Express), debit cards, PayPal, and Stripe payments. All transactions are processed securely through PCI DSS compliant payment gateways with bank-level encryption.

Pricing and Fees

Transparent Pricing: The total cost displayed at checkout is what you pay. This includes:

  • Top-up amount (credit sent to recipient)
  • Service fee (clearly displayed before payment)
  • Currency conversion fees (if applicable)
  • No hidden charges or surprise fees

Prices are subject to change based on exchange rates and operator pricing. The final price shown at checkout is locked in for your transaction. Payment must be completed in full before mobile credit is delivered.

5. Refunds and Cancellations

Refund Policy

We strive for 100% customer satisfaction with our mobile top-up services. Refunds are provided in the following circumstances:

Automatic Refunds

If a top-up fails to deliver due to technical issues, operator problems, or invalid recipient numbers, we will automatically process a full refund to your original payment method within 5-7 business days.

Requested Refunds

Contact our support team within 24 hours of a successful transaction if you believe there was an error. We will investigate and process refunds for genuine mistakes. Refunds are not available if the recipient has already used the mobile credit.

No Refund Scenarios

Refunds cannot be issued for successfully delivered top-ups to the correct recipient number, or if you entered the wrong phone number (please double-check before confirming). Mobile credit cannot be transferred between numbers once delivered.

6. User Responsibilities

When using Talky's mobile top-up platform, you agree to:

  • Accuracy: Verify recipient phone numbers carefully before confirming transactions
  • Truthfulness: Provide accurate account information and payment details
  • Compliance: Follow all applicable laws and regulations in your jurisdiction
  • Legitimate Use: Use our services only for lawful purposes and legitimate mobile recharges
  • Communication: Respond promptly to verification requests and support inquiries

7. Prohibited Activities

You may not use Talky's platform for any illegal or unauthorized purposes, including but not limited to:

  • ❌ Fraud, money laundering, or other financial crimes
  • ❌ Using stolen credit cards or unauthorized payment methods
  • ❌ Creating multiple accounts to abuse promotions or circumvent limits
  • ❌ Attempting to hack, exploit, or disrupt our platform security
  • ❌ Using automated bots or scripts without authorization
  • ❌ Violating sanctions or sending top-ups to restricted countries
  • ❌ Reselling services without proper business account authorization
  • ❌ Impersonating others or providing false information

Violation of these terms may result in immediate account suspension or termination, and we may report illegal activities to appropriate law enforcement authorities.

8. Limitation of Liability

To the maximum extent permitted by law, Talky Cloud Communications and TechSynergy Corp shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions, delays, or technical errors beyond our control
  • Actions or omissions of mobile operators, payment processors, or third-party services
  • Damages resulting from your violation of these Terms of Service

Maximum Liability: Our total liability for any claims arising from your use of our mobile top-up services shall not exceed the amount of fees paid by you in the 12 months preceding the claim.

9. Account Termination

Voluntary Termination

You may close your account at any time by contacting our support team. Upon account closure, you will no longer have access to transaction history, and any pending transactions must be completed before termination.

Service Termination by Talky

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms of Service or our Privacy Policy
  • We suspect fraudulent activity or unauthorized use
  • Required by law or legal process
  • Your account has been inactive for more than 2 years
  • We discontinue the service (with 30 days notice)

Dispute Resolution and Arbitration

We value your satisfaction and strive to resolve any disputes amicably. If you have concerns about our mobile top-up services, we encourage you to contact customer support first for informal resolution.

Dispute Resolution Process

Contact Support: Email support@talky.ca with details of your dispute, transaction ID, and desired resolution.

Investigation: We will investigate your claim within 5-7 business days and provide a written response with our findings.

Resolution: If we cannot resolve the dispute informally, you may pursue binding arbitration as described below.

Binding Arbitration

Any disputes arising from these Terms or use of our mobile top-up services shall be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration is more informal, faster, and less expensive than traditional court proceedings.

  • Arbitration will be conducted by a neutral arbitrator under applicable arbitration rules
  • Each party pays their own arbitration costs, except where prohibited by law
  • Arbitration decisions are final and binding, with limited appeal rights
  • Class action lawsuits and class-wide arbitrations are not permitted

Governing Law and Jurisdiction

These Terms of Service and your use of Talky's mobile top-up platform are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

International Users: If you access our mobile top-up services from outside Canada, you are responsible for compliance with local laws and regulations in your jurisdiction. Cross-border transactions may be subject to additional terms, restrictions, or fees based on your country's regulations.

Intellectual Property Rights

All content, trademarks, logos, service marks, software, and intellectual property on the Talky platform are owned by or licensed to TechSynergy Corp. This includes but is not limited to:

  • Talky brand name, logo, and all related trademarks
  • Website design, graphics, user interface, and visual elements
  • Software, code, algorithms, and technical implementations
  • Content, text, images, and documentation on our platform
  • Mobile operator data, pricing information, and coverage maps

You may not copy, reproduce, modify, distribute, sell, or exploit any content from our mobile top-up platform without express written permission. Business partners with API access must comply with API Terms of Use regarding intellectual property restrictions.

Force Majeure

We shall not be liable for any failure or delay in performing our mobile top-up services due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, fires)
  • Acts of war, terrorism, or civil unrest
  • Government actions, regulations, or sanctions
  • Internet outages or telecommunications failures
  • Mobile operator network disruptions
  • Payment processor outages or failures
  • Power failures or infrastructure damage
  • Pandemics or public health emergencies

During force majeure events, we will make reasonable efforts to notify affected users and resume normal operations as quickly as possible. Refunds for failed transactions due to force majeure will be processed according to our standard refund policy.

Severability and Waiver

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver of these Terms must be in writing and signed by an authorized representative of TechSynergy Corp.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional terms presented at the time of transaction, constitute the entire agreement between you and Talky Cloud Communications (TechSynergy Corp) regarding your use of our mobile top-up platform. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.

Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes:

  • We will notify you via email to your registered address at least 30 days in advance
  • We will display a prominent notice on the platform homepage
  • The updated Terms will show a new "Last Updated" date at the top
  • You will have the opportunity to review changes before they take effect

Continued use of our mobile top-up services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the modifications, you must discontinue use and may close your account by contacting customer support.
